1. Acceptance of Terms
By accessing our website at lexvrainfinology.online or entering into a Master Services Agreement (MSA) or Statement of Work (SOW) with Lexvra Infinology Pvt Ltd ("Lexvra"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not access or use our services.
2. Scope of Services
Lexvra provides custom software development, mobile application development, AI & machine learning integration, UI/UX design, cloud engineering, and technical consulting services. Specific deliverables, timelines, and payment terms for client projects are governed by individual Statements of Work executed between Lexvra and the client.
3. Intellectual Property Ownership
Upon full settlement of all project fees, the client owns 100% of the custom code, designs, and deliverables created specifically for them. Lexvra retains ownership of pre-existing tools, open-source libraries, and reusable frameworks incorporated into the project, granting the client a perpetual, worldwide, non-exclusive license to use them.
4. Payment & Invoicing
Invoices are issued according to the payment schedule specified in your project agreement. Payments are due within the timeframe indicated on the invoice (typically Net 15 or Net 30 days). Late payments may incur interest charges as permitted by applicable law.
5. Confidentiality
Both parties agree to hold in strict confidence all proprietary technical information, business plans, trade secrets, and source code disclosed during the engagement. Confidentiality obligations survive the termination of any agreement for a period of five (5) years.
6. Limitation of Liability
To the maximum extent permitted by law, Lexvra Infinology Pvt Ltd shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of or inability to use our services. Our total liability for any claim shall not exceed the amount paid by the client for the specific project giving rise to the claim.
7. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal action arising from these terms shall be subject to the exclusive jurisdiction of the competent courts in India.
